Terms of Service

These Terms govern your use of Reyze.app, including creating events, purchasing tickets, and managing organizations. Please read them carefully before using the Platform.
1. Acceptance of Terms
By accessing or using Reyze (the "Platform"), operated by Põhivõrgustik OÜ, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. We may update these Terms from time to time; continued use of the Platform after changes constitutes acceptance. By completing a ticket purchase on the Platform, you additionally confirm your acceptance of these Terms at the point of sale.
2. Role of the Platform
Reyze provides software, checkout, payment facilitation, and related administrative services for the sale of event tickets. Reyze operates strictly as a Software-as-a-Service (SaaS) platform and technology provider. The Platform is not a payment service provider, an acquiring bank, a marketplace, or a merchant of record. The Event Organizer is the sole Merchant of Record (MoR), the legal seller of the tickets, and the sole contracting party with the Ticket Buyer. The Platform assumes no principal or performance liability for any event. The contract for the purchase of a ticket is concluded directly between the Ticket Buyer and the Event Organiser, not with the Platform. The Platform is not the organiser, promoter, venue operator, or supplier of the event itself and, to the maximum extent permitted by law, does not assume responsibility for the content, quality, legality, safety, postponement, cancellation, or performance of any event.
3. Accounts
- -You are responsible for maintaining the confidentiality of your account credentials
- -You must be at least 18 years of age to register an account or manage an organization.
- -You must provide accurate, current, and complete information when registering
- -You may not share your account or allow others to access it on your behalf
- -You are responsible for all activity that occurs under your account
- -Notify us immediately at support@reyze.app if you suspect unauthorized access
4. Event Creator Terms
Creating Events
Event creators (Organisers) are solely responsible for the accuracy, legality, and completeness of all event information and for the delivery of the event exactly as advertised. By creating an event, the Organiser appoints the Platform to provide software, checkout, payment facilitation, and related support services for transactions conducted between the Organiser and Ticket Buyers. Reyze operates strictly as a Software-as-a-Service (SaaS) platform and technology provider. The Platform is not a payment service provider, an acquiring bank, a marketplace, or a merchant of record. The Event Organizer is the sole Merchant of Record (MoR), the legal seller of the tickets, and the sole contracting party with the Ticket Buyer. The Platform assumes no principal or performance liability for any event.
Fees
The Platform charges a service fee of 3.5% plus a €1.00 fixed fee per paid ticket. The Platform's SaaS service fee (3.5% + €1.00 per paid ticket) is automatically split and deducted by Stripe Connect at the point of transaction from the gross ticket sales. The consolidated invoice sent to Organizers at the end of the month serves strictly as a tax invoice/statement documenting the SaaS service fees already captured during that billing cycle, not an open balance invoice requiring secondary payment. All prices on the Platform are displayed in Euros (€). Service fees are deducted from Organiser payouts and are not added on top of Buyer-facing ticket prices.
Payouts
All ticket sale proceeds, excluding the Platform's own fees and any separately identified amounts belonging to the Platform, are collected for the benefit of the Organiser and belong beneficially to the Organiser. Subject to Stripe processing, reserves, compliance checks, disputes, refunds, and other lawful holds, payouts of collected funds will be transferred to the Organiser's verified bank account within 3 business days after the scheduled end of the event.
Refunds & Cancellations
Organisers set their own refund policies and are solely responsible for honoring them. If an event is cancelled, materially changed, postponed, misdescribed, or cannot be delivered as promised, the Organiser is solely responsible for all resulting refunds, returns, compensation claims, customer service obligations, and legal compliance toward Ticket Buyers. The Platform may assist with technical refund processing but does so only as a service provider to the Organiser and does not assume refund liability.
Nature of Collected Funds
All payment proceeds received from Ticket Buyers, other than the Platform's own service fees and any taxes due on those fees, are collected and processed for the benefit of the Event Organiser. Such funds belong beneficially to the Event Organiser from the moment of successful payment authorisation, subject to payment processor rules, reserves, reversals, refunds, and legal requirements. The Platform acquires no beneficial ownership in those Organiser funds and handles them solely to facilitate settlement to the Organiser through Stripe Connect or any successor payout method.
Taxes
The Organiser is solely responsible for determining, calculating, invoicing, collecting, reporting, and remitting all taxes arising from its events and ticket sales, including VAT, sales tax, digital services tax, amusement tax, withholding tax, and any municipal or local levy. The Organiser is solely responsible for the tax treatment of gross ticket sales and for issuing any tax-compliant receipts or invoices required by applicable law. The Platform is responsible only for taxes imposed on the Platform's own proprietary service fee or other revenue belonging to the Platform.
Stripe Connect, KYC, and DAC7 Reporting
The Organiser must complete Stripe Connect onboarding and provide accurate, current, and complete identity, business, banking, and tax information, including any taxpayer identification number, VAT number, beneficial ownership information, and supporting documentation requested by the Platform, Stripe, or a competent authority. The Organiser authorises the Platform to collect, verify, use, and share this information with Stripe and relevant authorities as required to provide payout services, perform know-your-customer and anti-fraud checks, and comply with legal obligations. The Organiser acknowledges that the Platform may be legally required under Council Directive (EU) 2021/514 (DAC7), local implementing laws, and similar reporting regimes to collect and report the Organiser's identity, tax information, transaction volumes, and earnings to tax authorities, and the Organiser expressly consents to such reporting and related data disclosures.
Chargebacks, Fraud, and Recovery Rights
The Organiser is solely liable for all payment disputes, reversals, refunds, chargebacks, card network assessments, fines, fraudulent transactions, and losses arising from the Organiser's events, ticket sales, or failure to deliver. If the Platform, Stripe, or any financial institution debits or withholds amounts in connection with a refund, dispute, chargeback, reserve, or fraud matter, the Organiser must immediately reimburse those amounts on demand. The Platform may recover such amounts, together with related fees and costs, by offset, reserve, transfer reversal, debit from the Organiser's connected Stripe account, debit from the Organiser's external bank account where authorised and legally permitted, or any other lawful collection method.
Negotiated Terms
Organisers who expect to process a significant volume of transactions, or who have specific commercial requirements, may contact us at support@reyze.app to discuss tailored arrangements, including negotiated service fee rates or payout schedules. We will consider such requests on a case-by-case basis. Standard terms apply unless a separate written agreement is concluded.
5. Ticket Buyer Terms
- -Tickets are delivered electronically via email immediately after successful payment. Average order completion time: under 5 minutes (digital delivery).
- -All payments are processed in Euros (€)
- -Refunds are subject to the event Organiser's stated policy, and the Organiser is solely responsible for refund decisions and fulfillment
- -In the event of an Organizer-approved refund or event cancellation, the Platform's SaaS service fee (3.5% + €1.00 per paid ticket) remains non-refundable to the Ticket Buyer, as our software facilitation and ticket delivery services were fully rendered at the point of sale, unless mandatory local consumer law dictates otherwise.
- -By purchasing, you agree to the processing of your payment via Stripe.
- -As between the Platform and the Event Organiser, the Event Organiser is the seller and intended merchant of record for the ticket you purchase
- -To the maximum extent permitted by law, the Platform is not liable for changes, delays, cancellations, tax treatment, or non-performance by Organisers
- -If you do not receive your ticket within 15 minutes of payment, please check your spam folder. If still not received, contact us at support@reyze.app for a resend.
- -All ticket prices displayed on the Platform are set by the Event Organiser. The Platform deducts its service fee from the Organiser's payout. Any VAT or other transaction tax applicable to ticket prices is determined and borne by the Event Organiser.
6. Prohibited Conduct
You may not use the Platform to:
- -Violate any laws of the Republic of Estonia or your local jurisdiction
- -Create events promoting illegal activities, violence, or hate speech
- -Commit fraud or misrepresent event details
- -Scrape, crawl, or systematically extract data from the Platform
7. Disclaimers & Limitation of Liability
The Platform is provided "as is". To the maximum extent permitted by law, Põhivõrgustik OÜ shall not be liable for any indirect, incidental, special, punitive, or consequential damages. Without limiting the foregoing, the Platform does not assume liability as merchant of record, seller, supplier, organiser, tax remitter, insurer, guarantor, or fiduciary for any event or Organiser transaction. Our total liability to any Organiser is limited to the service fees paid by that Organiser to us in the 12 months preceding the claim. Our total liability to any Ticket Buyer is limited to the face value of the ticket(s) at issue, except where mandatory consumer law provides otherwise. Nothing in these Terms shall limit or exclude our liability for death, personal injury, fraud, willful misconduct, gross negligence, or any other liability which cannot be limited or excluded under mandatory Estonian and European Union consumer protection laws.
8. Governing Law
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from these Terms shall be resolved in the Harju County Court in Tallinn.
10. Platform Changes
We reserve the right to change the Platform's technical features, design, and software functionalities at any time without prior notice. Ticket prices are set exclusively by the Event Organiser and are not subject to unilateral change by the Platform. We reserve the right to modify these legal Terms and SaaS service fee rates. For existing users with active accounts, material changes to fees or legal obligations will be published with at least 14 days' prior notice. Continued use of our SaaS tools after this period constitutes acceptance of the new terms. Non-material updates, interface changes, or modifications driven by urgent legal or payment processor mandates take effect immediately upon publication. This reservation does not affect the terms of any ticket purchase already completed — once a payment is confirmed, the price and entitlement agreed at that moment are binding.
11. Payment Processing
Online card and wallet payments are executed via Stripe and related financial partners. Reyze operates strictly as a Software-as-a-Service (SaaS) platform and technology provider. The Platform is not a payment service provider, an acquiring bank, a marketplace, or a merchant of record. The Event Organizer is the sole Merchant of Record (MoR), the legal seller of the tickets, and the sole contracting party with the Ticket Buyer. The Platform assumes no principal or performance liability for any event. The Platform does not store full payment instrument data such as full card numbers, bank account credentials, or digital wallet credentials. Payment processing and payout services are subject to Stripe's terms, policies, and compliance requirements.
